While this mode lasts, u-start can make all necessary modifications to the platform and these general terms of use without further notice and without U -Start being liable for any breach. Therefore, during the beta mode, art. 14 of these general terms of use on their modification does not apply. 1. Definitions The following terms shall have the following meanings where used in these general terms of use of the U -Start platform, whether they are used in the singular or the plural. Deal Rooms : are the virtual rooms within which Investors and Entrepreneurs may privately discuss the realization of a specific Project. Entrepreneurs : are the owners of an Entrepreneurs Profile on the Platform interested in promoting one or more Projects. Fee : is the amount due by Entrepreneurs and Investors at the time of registration or renewal of registration with the Platform and better specified in art. 3 of the General Terms from time to time in force. General Terms : are these General Terms of Use of the U -Start Platform in the version in force from time to time. Investors : are owners of an Investors Profile on the Platform interested in investing economic resources in one or more Projects. License : is the temporary and non-exclusive license granted to U -Start by Investors and by universities taking part in the Project for the use and publication of the respective Logos on the Platform and on the hard copy material concerning the Platform’s promotional or advertising activities. Logo : is the logo of the universities or Investors covered by the License. Parties : are, collectively, U -Start , the Investors and the Entrepreneurs. The Party is each of the above-mentioned parties. Platform : is the IT platform available on the website www.u-start.biz, managed by U -Start , through which the Investors and Entrepreneurs may enter into contact. Privacy Code : is Legislative Decree no. 196 of 30 June 2003, as subsequently amended. Project/s : consists in the business proposal uploaded by each Entrepreneur onto the Platform accompanied by the necessary presentation documentation. Stamp : is the stamp of recognition “U-Start Approved” assigned by U -Start to the Projects whose documentation uploaded onto the Platform has been deemed to meet the criteria of completeness necessary to provide Investors with a clear idea of the Project. U-Start : is U-Start s.r.l. with registered office at via Giuseppe Verdi 2, Milan, Italy. 2. Services U -Start has created its Platform for the purpose of providing a virtual meeting place where Investors interested in investment opportunities may enter into contact with Entrepreneurs in a simple/accessible and intuitive manner. U -Start verifies, as soon as practically possible on the basis of the ongoing traffic on the Platform and in any case within two weeks from the upload of the Project onto the Platform, that the descriptive documents on the Project, uploaded by Entrepreneurs, are complete and suitable for purposes of providing to the Investors a clear and exhaustive indication of the Project. U -Start : Check on the documentary completeness of the business proposals and assign a “U-Start Approved” stamp that will allow the investors to have a first feedback on the projects that have reached a minimum documentary quality and completeness level; contacted for a U-Start trial; Provide the Entrepreneurs with a preliminary feedback on the documentary quality and completeness of the business proposal, in order to give them the parameters to improve on the proposal itself and present a better offer to the investors. our technology and its scalability. The Stamp does not express any assessment or opinion on the part of U -Start on the merits or potential of the Project. U -Start will assign the Stamp on the basis of the following parameters: 1. Sector Trend 10% 2. Documentary Support 50% 3. Business Idea Presentation 25% 4. Economic Data Presentation 15% TOTAL 100% The “U-Start Approved” stamp will be assigned based on a proprietary scoring model developed by U -Start experts. The scoring model assigns a weighted score to 4 macro areas that evaluate the overall business proposal. The “U-Start Approved” stamp will be assigned to the business proposals that scores a total of 60 out of 100. It has to be noted that those business proposals who will not be assigned the “U-Start Approved” stamp will not be deleted from the U -Start platform, and will be nonetheless searchable by the Investors that sign up on U -Start . Anyway, a specific search field will be inserted in the search engine, allowing Investors to delimitate their search only for those business proposals that have been assigned the “U-Start Approved” stamp. After the first preliminary check, U-Entrepreneurs are allowed to ask for ONE further check once they have received a feedback on the business proposal completeness by U -Start experts and improved on the business proposal in case it didn’t receive the “U-Start Approved” stamp. The second check will be done in the shortest time possible considering the traffic on the platform. U -Start does not provide any mediation/brokerage services, securities brokerage services, or legal or financial consultancy services nor may it be considered a financial broker/intermediary under the legal framework on financial brokerage/intermediation. Once the Project of interest has been identified, the Investor may send a request for authorization to the Entrepreneur, who may decide, in his or her own discretion, whether to make its Project accessible to the Investor who made the request. The Entrepreneur may choose between two types of documentation access profiles: by selecting the “Open Profile” option, the Entrepreneur authorizes all Investors registered on U -Start to have access to the documentation uploaded onto his/her profile without any need for an access authorization; by deselecting the “Open Profile” option, on the other hand, each Investor will be required to submit, through the Platform, an explicit request for access to the documentation concerning the Project of interest directly to the Entrepreneur. The “Open Profile” option will be deselected at the time of registration with the Platform. The Investor may choose between two types of access profiles: by selecting the “Close Profile” option, the Investor does not allow Entrepreneurs to submit to him the business proposal for his Project. The Investor cannot be contacted in any manner except through the opening of a Deal Room. The opening of a Deal Room requires, however, an expression of interest and therefore an initiative on the part of the Investor vis-à-vis the Entrepreneur; by deselecting the “Close Profile” option, however, the Investor allows all Entrepreneurs to contact him to send their business proposals. The Entrepreneurs may spontaneously contact each Investor only once. If contacted, each Investor may decide whether to view the business proposal, eliminate it or save it on the “Saved Projects” page. The “ Close Profile ” option will be deselected at the time of registration with the Platform. Entrepreneurs and Investors may enter into contact, exchange
